This document amends and extends the agreements between Umtech Inc. and
the two contractors Arthur L. Samuel and Mrs. Guli Aboobaker with respect
to the Video Brain checker program which is currently under development.

Firstly, the available ROM space is be increased from the original allowed
amount of 2 K bytes to 4 K.  The original estimates as to the amount of
ROM space reguired for the job were grossly in error.  Dr. Samuel is in
part responsible for this error which came about because of his lack of
familiarity with the deficiencies in the F-8's order structure, but Umtech
is also at fault for not informing Dr.  Samuel that well over half of the
projected ROM area would be required solely for the purpose of generating,
updating and displaying image data for the TV.

Secondly, Umtech specifically recognizes that much of the trouble
experienced by the contractors must be charged to Umtech because of
deficiencies and inadequate documentation with respect to the interrupt
capabilities in the overall system as this must be used for a program as
complicated as the proposed checker program.

Thirdly, Umtech agrees to extend the contract period, as far as Mrs.
Aboobaker is concerned, tentatively, to October 31st for the expected
completion date and to waive any penalty for failure to meet this date as
long as Mrs. Aboobaker continues to devote a reasonable amount of effort
to the project.  This waiver is made necessary by the fact that the
project will be in a state where it will be extremely difficult for Mrs.
Aboobaker, or indeed anyone, to debug the code without Dr. Samuel's help.
The project will, in effect, have to be delayed until Dr. Samuel's return.
On Dr. Samuel's return, the situation as of that time will be reviewed and
a final realistic completion date then set.

Fourthly, Umtech agrees to furnish Dr. Samuel and Mrs. Aboobaker with a
reasonable amount of priority as to the use of the experimental equipment
so that Dr. Samuel's available time can be effectively utilized between
now and August 21 to render Mrs. Aboobaker's debugging job less onerous
thereafter.

Nothing in this supplement will alter the remuneration accruing to the
two contractors as defined by previous agreements.
